Terms of Service

By accessing or using ALLI Recon, you agree to be bound by these terms. If you are using the service on behalf of an organization, you confirm that you are authorized to bind that organization to these terms.

ALLI Recon is reconciliation software for Philippine e-commerce. It reconciles marketplace payouts and courier COD remittances, proposes journal entries, and posts them to the ledger you connected for that workspace, your Xero organization or your QuickBooks Online company, once they are approved, either by you or by a posting schedule you switched on (see section 6). A workspace can instead be set to export its reconciled data to a Google spreadsheet you own, in which case approval confirms the data and nothing is posted to a ledger.

A workspace can also keep its books in ALLI Recon itself. Approved journals are then recorded in a ledger ALLI Recon keeps for that workspace, on a standard chart of accounts it sets up, and nothing is posted to another ledger. The workspace's owner can later move those books to Xero or QuickBooks: they close as of the day of the move, and ALLI Recon lists their balances for you to enter in the new ledger, without posting them there. The owner of a workspace that already posts to Xero, QuickBooks or a spreadsheet can instead move it into ALLI Recon books, and that move cannot be undone: the books start on the day of the move with the balances ALLI Recon's own records show still in flight, everything posted before the move stays in the earlier ledger, where any correction to it is made, and ALLI Recon lists those balances for you to clear there, without posting to that ledger. These books are management records: they are not books of account registered with the BIR, and they do not replace the books your business is required to keep.

The service is provided by ALLI Recon OPC, a one person corporation organized under Philippine law with registered office at 21st Floor, Unit 2116, Park Triangle Corporate Plaza North Tower, 32nd Street corner 11th Avenue, Bonifacio Global City, Fort Bonifacio, Taguig City 1635 (the operator). Your agreement under these terms is with ALLI Recon OPC.

You agree to provide accurate account information and to keep your login credentials secure. You are responsible for activity that happens under your account. Notify us promptly of any unauthorized use.

You agree not to use ALLI Recon for any unlawful purpose, not to infringe the rights of others, and not to attempt to breach the security or data isolation of the service or access data that is not yours.

ALLI Recon connects to Xero, QuickBooks Online, Google, online marketplaces, and couriers. Your use of those services is governed by their own terms. By connecting an integration, you authorize ALLI Recon to access and act on the relevant data using tokens you can revoke at any time.

ALLI Recon is a tool that assists reconciliation. It is not a substitute for professional accounting or tax advice. You and your accountant remain responsible for the accuracy of your books and for your tax filings.

By default, nothing posts to your ledger automatically. ALLI Recon proposes journals, and a person on your side approves them before they post.

You can switch on scheduled posting for a workspace. It is off unless you turn it on, and you can turn it off again at any time. While it is on, ALLI Recon will automatically approve that workspace's cleanly reconciled marketplace payouts and post them, with their cost of goods, to the ledger you connected or to the books ALLI Recon keeps for it, with no human review, every morning at 5:00 AM Manila time, or every Monday morning if you choose the weekly setting. On a workspace whose books ALLI Recon keeps, it first records the delivery days that are ready, each day's cost of goods and then its sales, in the same way. On such a workspace it also records each connected ad account's spend for a day once that day is four days old, after the ad platform's usual revisions. Payouts with a reconciliation error, an unresolved variance, or an unmapped account are skipped and left for you. COD remittances are never auto-posted, and no other kind of journal is ever posted on a schedule.

Whether you approve each journal yourself or switch on a schedule, the decision to post rests on your professional judgment.

ALLI Recon, including its software, design, and the ALLI brand, remains the property of the operator, ALLI Recon OPC. These terms do not grant you any ownership of the service. Your data remains yours.

There is no free trial. An owner subscribes before your organization connects its first store or uploads its first payout, courier report or order file, and the subscription starts at that moment. Nothing is invoiced to an organization that has not subscribed. An organization created while the free trial was offered keeps its 14 free days: its first invoice is issued 14 days after its first store.

Once subscribed, ALLI Recon is billed monthly, per store. Each store is priced on its own monthly orders, at the prices in the pricing section of our home page, and pays at least the lowest price in any month, including a month with no orders. Orders from every source count, and each order is counted once. A paused store is not billed. Prices are before VAT, and VAT is added to each invoice.

Your first invoice is issued when your subscription starts. It covers your first month and is priced at the lowest price for each store, because there are no orders to measure yet. Every invoice after it is priced on each store's orders in the month before it. Each invoice is emailed to you with its due date. You pay it from the Billing page in ALLI Recon, by card, QR Ph or e-wallet, through our payment processor. An invoice that is not paid by its due date is handled as section 13 describes.

Every organization can explore its own copy of the Demo company, a sample business with made up data. You can review, post, re open and start it over, but it never connects to a store or any outside service, is never billed, and holds no real records. We may reset or remove an unused copy.

Our Refund and Cancellation Policy, which forms part of these terms, explains how to cancel a subscription and when we refund a payment.

ALLI Recon is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the service will be uninterrupted or error free.

To the fullest extent permitted by law, the operator, ALLI Recon OPC, will not be liable for any indirect, incidental, or consequential damages, or for loss of profits or data, arising from your use of the service.

You agree to indemnify and hold the operator, ALLI Recon OPC, harmless from claims arising out of your misuse of the service or your violation of these terms.

You may stop using ALLI Recon at any time. We may suspend or terminate access for a violation of these terms or where required by law. We also pause changes to your organization's books when a subscription invoice remains unpaid past the due date stated in its notice. Your data stays readable and exportable throughout. If your organization has not paid an invoice yet, nothing new is brought in from its stores while changes are paused. Paying an overdue invoice restores access immediately. On termination, the data handling described in the Privacy Policy applies.

These terms are governed by the laws of the Republic of the Philippines.

We may update these terms as the product and our legal structure evolve. When we do, we will revise the date above. Continued use after a change means you accept the updated terms.
